Application for Approval of Transfer of Scheduled Air Transport Service, countersigned by the partics concerned, describing the following matters:
(1)Name and address of transferor and transferee;
(2)Route to be transferred and the remuneration arising from the said transferral;
(3)Proposed date of transfer;
(4)Reasons necessitating the transfer, and the plan of management for scheduled air transportation services on the route in question after the transfer is effected;
(5)Statement showing the said transferee complies with the standards prescribed under the provisions of Article 101 paragraph 1, subparagraphs (4)and (5)of the Law.
2. An application under the preceding paragraph shall be accompanied by the following documents;
(1)Copy of contract of transfer;
(2)Statement of revenues and expenditures during the latest period relating to the scheduled air transportation service to be transferred;
(3)where the transferee is a juridical person, the articles of association, copy of the commercial register, and the latest inventory, statement of profit and loss, balance sheet and business report;
(4)In case any transferor or transferee is a juridical person, the record of resolution at the meeting of stocktholders or members, or the written consent of the unlimited liability members or of all the members, with respect to the transfer.
(Application for Approval of Amalgamation of Business)
Article 223. Any person who will apply for the approval of amalgamation, as a juridical person of scheduled carriers in accordance with the provisions of Article 115 paragraph 1 of the Law shall submit to the Minister of Transport an Application for Approval of Amalgamation of Scheduled Carriers countersigned by the parties concerned, describing the following matters:
(1)Names and addresses of the parties concerned and names of the representatives and officers;
(2)Method and conditions of amalgamation;
(3)Proposed date of amalgamation;
(4)Reasons necessitating the amalgamation,
(5)Outline of the business in which the parties concerned are currently engaged;
(6)Statement showing the said juridical person complies with the standards under the provisions of Article 101 paragraph 1, subparagraphs (4)and (5)of the Law, and which will continue to exist after amalgamation or will be established following amalgamation.
